Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between you and Bravexa Software (“Bravexa Software,” “we,” “us,” or “our”) governing your access to and use of Cottage HQ (the “Service”). By creating an account, subscribing to a plan, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Cottage HQ is a software platform for cottage food operators that provides an online storefront, order management, drop / pre-order scheduling, customer CRM, email marketing, label generation, recipe & ingredient tracking, and related tools. We provide the software and hosting; you (the operator) provide the food, recipes, and fulfillment.

3. Account Registration

To use Cottage HQ as an operator, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old and legally able to enter into a binding contract.

4. Subscription & Pricing

Cottage HQ is offered on a subscription basis with the following plan:

  • Monthly: $28.99 USD per month, billed monthly
  • Annual: $299 USD per year, billed annually (best value)
  • Free Trial: 14-day free trial for new accounts. No card required to start.

All features are included on both plans — there is a single tier. Prices are in U.S. dollars and exclude applicable taxes. We may change prices with at least 30 days’ notice via email; price changes do not apply to the current paid billing period.

5. Payment Terms

Subscriptions are billed in advance and auto-renew at the end of each billing period unless cancelled. Payments are processed by Stripe; by subscribing you agree to Stripe’s terms in addition to these Terms.

If a payment fails, we will retry and notify you by email. If we cannot collect payment after a reasonable retry window, we may suspend access to the Service until the balance is paid.

Refunds: Monthly subscriptions are non-refundable except where required by law. Annual subscriptions may be refunded pro rata within 30 days of purchase on written request to support@cottageheadquarters.com.

6. Your Data & Content

You retain all rights to the content you upload or create in Cottage HQ — recipes, product photos, website copy, customer lists, order records. You grant Bravexa Software a limited, worldwide, royalty-free license to host, store, reproduce, modify, and display that content solely as necessary to operate the Service on your behalf.

You are the data controller for the personal information of your customers (contacts, orders, newsletter subscribers); Bravexa Software is the data processor acting on your instructions. You are responsible for ensuring you have a lawful basis for collecting that data and for complying with applicable privacy laws in your jurisdiction.

You can export your data (customers, orders, recipes) at any time from the dashboard. On account termination, we retain your data for a reasonable grace period for re-activation and then delete it.

7. AI-Powered Features

Cottage HQ offers AI-assisted features (content generation, recipe suggestions, label text drafting) powered by third-party AI providers (currently Anthropic). AI-generated output may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing, editing, and approving any AI output before publishing it, sending it to customers, or affixing it to food products.

We do not guarantee that AI output is original, non-infringing, or factually accurate. Nutrition information, allergen warnings, and ingredient statements generated by AI must be verified by you before being used on food labels.

7a. Email Communications — Transactional vs. Marketing

Cottage HQ sends two distinct classes of email to operators, with different consent rules:

  • Transactional email is sent regardless of marketing preferences. This includes order confirmations, payment receipts, fulfillment and customer activity alerts (form submissions, refund failures), subscription renewal digests, password resets, billing notifications, and account-status updates. These messages are essential to operating your account and are sent on a legitimate-interest basis. You may turn off individual per-feature notifications in Settings → Notifications where the underlying workflow permits, but the classification itself is not an opt-in.
  • Marketing email — product updates, feature announcements, newsletters, and promotional broadcasts from us to you — is sent only when you have explicitly opted in. The opt-in is captured at signup and is also editable in Settings → Notifications. Every marketing email also contains an unsubscribe link; using it sets your preference back to off and stops further marketing sends. We do not sell, share, or transfer your email address to any third party for their own marketing.

Emails sent by an operator to their own customers (drop alerts, newsletters, order updates, review solicitations) are governed by the operator’s own relationship with those customers and the applicable anti-spam law (CAN-SPAM, CASL, etc.). The operator is solely responsible for ensuring they have a lawful basis to email each recipient on their list.

8. Cottage Food Law Compliance

Cottage HQ provides tools to help you comply with your state’s cottage food law, but compliance is your responsibility. Cottage food laws vary by state and change over time. We do not provide legal advice. Consult your state’s department of agriculture or an attorney if you are unsure whether a product, claim, or labeling choice is compliant.

You represent and warrant that your use of the Service complies with all applicable cottage food laws, food safety regulations, labeling requirements, and sales channels permitted in your jurisdiction.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any law
  • Sell products that are prohibited under your state’s cottage food law or that you are not licensed to sell
  • Upload content that is infringing, defamatory, obscene, or harmful
  • Send unsolicited bulk email (spam) through Cottage HQ — recipients must have opted in
  • Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service
  • Use the Service to build a competing product
  • Impersonate another person or business, or misrepresent your affiliation
  • Resell, sublicense, or transfer your account to another party without our written consent

10. Service Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Planned maintenance, third-party outages (Stripe, Supabase, Vercel, Anthropic, Resend), and unforeseen events may cause downtime. We will make reasonable efforts to notify you of significant planned maintenance.

In addition: to the maximum extent permitted by law, Bravexa Software is not liable for any lost revenue, lost sales, business interruption, missed pickup or fulfillment windows, customer dissatisfaction, reputational harm, or other commercial loss arising from downtime, outages, third-party provider failures (including but not limited to Supabase, Stripe, Square, Vercel, Anthropic, Resend, Cloudflare, DNS providers, domain registrars, or upstream internet outages), security incidents at a sub-processor, or any event outside our reasonable control. You are responsible for maintaining reasonable contingency arrangements (backup communication channels, manual order intake, customer notifications) for periods when the Service is unavailable.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. Bravexa Software does not warrant that the Service will meet your requirements, be error-free, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAVEXA SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total cumulative liability for any and all claims arising from or related to the Service is limited to the greater of (a) the amount you paid Bravexa Software in the 12 months preceding the claim, or (b) $100 USD.

BRAVEXA SOFTWARE IS NOT A PARTY TO ANY TRANSACTION BETWEEN AN OPERATOR (A “HOST”) AND THE HOST’S CUSTOMERS. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, BRAVEXA SOFTWARE IS NOT LIABLE FOR: (a) THE PRODUCTS A HOST OFFERS OR SELLS; (b) THE ACCURACY OR COMPLETENESS OF PRODUCT DESCRIPTIONS, INGREDIENT LISTS, ALLERGEN WARNINGS, NUTRITION INFORMATION, OR LABELS PRODUCED OR CHOSEN BY A HOST; (c) ANY COMMUNICATION BETWEEN A HOST AND THEIR CUSTOMERS; (d) A HOST’S FULFILLMENT, DELIVERY, REFUND, OR CANCELLATION DECISIONS; (e) ANY INJURY, ILLNESS, ALLERGIC REACTION, OR PROPERTY DAMAGE CAUSED BY FOOD OR OTHER ITEMS SOLD THROUGH A HOST’S STOREFRONT; (f) ANY TAX, LICENSING, COTTAGE-FOOD-LAW, OR REGULATORY COMPLIANCE FAILURE BY A HOST; OR (g) ANY DISPUTE BETWEEN A HOST AND THEIR CUSTOMERS, EVEN IF COTTAGE HQ WAS USED TO COMMUNICATE OR PROCESS THE TRANSACTION. COTTAGE HQ IS A SOFTWARE TOOL; THE HOST IS THE MERCHANT.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Bravexa Software, its affiliates, and their respective officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your content, (c) your violation of these Terms, (d) your violation of any third party’s rights or any applicable law (including cottage food laws, food safety regulations, and consumer protection laws), (e) any injury or illness caused by food you sell through the Service, (f) any claim, dispute, refund demand, or chargeback brought by one of your customers — whether for product defects, allergic reactions, late or missing delivery, mislabeling, or otherwise — arising from your use of the Service to operate a storefront, or (g) any failure on your part to maintain reasonable business-continuity arrangements during a Service outage or third-party provider failure.

14. Account Termination

You may cancel your subscription at any time from the billing settings in your dashboard. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account if you materially breach these Terms, fail to pay, or engage in activity that harms the Service or other users. We will generally notify you and give an opportunity to cure where reasonable.

15. Intellectual Property

Cottage HQ, including its software, design, logos, trademarks, and documentation, is the property of Bravexa Software and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use Bravexa Software or Cottage HQ trademarks without our prior written consent, except for descriptive references (“powered by Cottage HQ”).

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the State of Florida.

17. Severability & Changes to Terms

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. We may update these Terms from time to time; material changes will be announced at least 30 days in advance by email to operators and via an in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
